Project Description: |
The RiNN Beach Resort is a 79-room HIP resort located on Rin beach, Pa-ngan Island, Thailand. The facilities of the resort include reception pavilion, beach-front restaurant, spacious swimming pool and pool bar. Pa-ngan Island is a neighbor Island of Samui Island, which is only 10 minutes away by speed boat. The connecting pier in Samui Island is very close to Samui international airport; so the trip to our beach resort is very convenient. The RiNN Beach Resort is only 5-10 minutes walking away from the famous full moon party that, every month, attracts more than 25,000 visitors from around the world. All hotels and resorts in Rin Beach are fully booked for at least 7 nights a month during each full moon period. As a result, we have 25% occupancy rate by taking only walk-in guests without making an extra marketing effort and from this 25% base occupancy, we can easily achieve 50-60% occupancy rate, which is the industry standard of beach hotels in Thailand. Thus, this beach-front resort is guaranteed a very lucrative investment. |

Investment Terms and Conditions |

1. |
The developer is offering ten shares of the subject beach resort for sale at the price of THB 5,500,000 each (approximately equal to HKD 1,200,000 - based on the current exchange rate of THB4.6/HKD1.0). If wants, an investor can buy more than one share. In return, each investor will own 10% of the foreign investor shares of the resort land owning company. In Thailand, foreigners can own a maximum of 49% share in a company; therefore, each investor will own 4.9% of the resort land owning company for a share he/she buys. |

For each share sold, the developer guarantees to pay an investor a minimum. |

After the third year, if wants, an investor can withdraw his/her investment back at the maximum of 20% of the total invested amount per year. In order to make any withdraw, an investor must notify the developer at least 6 months in advance. After a partial withdraw, the investment return of the later years will be calculated based on the invested amount left with the developer. |

4. |
After the eighth year, if wants, an investor can terminate the investment contract and withdraw his/her total investment back at once; however, an investor must notify the developer at least 6 months in advance. |

5.

After the eighth year, the developer reserves the right to be able to terminate the investment contract and return to an investor his/her total invested amount. The developer must also notify an investor of this termination at least 6 months in advance. |

6.

Every year, each investor will receive a bonus voucher worth THB 100,000 (approximately HKD 22,000) to enjoy staying and using all facilities in the resort. If approved by an investor, anyone can use his/her voucher. Due to its high occupancy, each voucher can be used no more than 2 times a year during full-moon periods and at the maximum of 2 rooms per time. |

The developer will not collect the invested amount until all ten shares are reserved. An interested investor can reserve a share by paying a reservation fee of HKD 10,000 to the bank account below. If all ten shares cannot be sold by the end of the year 2007, the developer will return such reservation fee back to the investors with an interest at the rate of 0.5% per month. |
